Terms of Service
1. Scope
These terms and conditions apply to all services of the company THIENEL Dental e.K., Meschwitzstraße 2a-6, 01099 Dresden exclusively. Deviating conditions of the customer are not valid, even if they are not contradicted. For their legal validity, these require the express written approval of THIENEL Dental e.K.
2. Prices
The prices quoted in our price list are non-binding
3. Retention of title
THIENEL Dental e.K. ownership of all delivered goods until complete payment of all debts of the customer.
4. Property and industrial property rights in the production of customer-specific goods and / or goods under private labels
Tools or aids, which are manufactured for the production of customer-specific goods on behalf of the customer, remain property of the company THIENEL Dental e.K. and are not delivered to the customer. This also applies if the production of these items is invoiced separately.
The client is responsible for the fact that the execution of his order and the distribution of goods in his name (trademarks) rights of third parties, in particular copyrights and industrial property rights, are not violated. The client represents the company THIENEL Dental e.K. in this respect, of all claims by third parties against THIENEL Dental e.K. claim, as far as THIENEL Dental e.K. would not be liable in accordance with point 4.
5. Liability
THIENEL Dental e.K. is liable without limitation for intent and gross negligence. For simple negligence THIENEL Dental e.K. only in case of injury to life, body, health or a material contractual obligation. Significant contractual obligations are those whose fulfillment is necessary to achieve the objective of the contract and the fulfillment of which the customer has trusted and was entitled to trust.
In the case of a slightly negligent breach of material contractual obligations, the liability is limited in amount to the foreseeable, typically occurring damage.
The above limitations of liability also apply in favor of legal representatives and vicarious agents of THIENEL Dental e.K.
Liability under the Product Liability Act remains unaffected.
6. Jurisdiction
The sole place of jurisdiction for both parties is Dresden, insofar as the other party is a merchant, a juvenile person under public law or a special fund under public law.
